The terms “we,” “us,” and “our” refer to Cryomedics LLC. Cryomedics operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you with a curated shopping experience (collectively, the “Services”).

Cryomedics is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein (collectively, the “Terms”), describe your rights and responsibilities when you access or use the Services.

An order is not considered accepted until Cryomedics confirms acceptance and payment has been successfully processed.

Order changes: We may not be able to modify or cancel an order after it has entered fulfillment or shipping.
Order communications: We may contact you regarding your purchase, shipping, delivery, support requests, warranty issues, account matters, or other transaction-related matters.
SMS communications: Where you have provided applicable consent, we may communicate with you by SMS in accordance with Section 11.
Returns: Returns are governed by our current Return & Refund Policy.
Warranty: Product defects and warranty claims are governed by the applicable Limited Warranty.

Unless otherwise expressly agreed by Cryomedics, products purchased through the Services are intended for personal or household use and not for unauthorized commercial resale or export.

Prices, promotions, discounts, and product availability are subject to change without notice.

Order pricing: The price applicable to your purchase is the price displayed and accepted when your order is placed, subject to correction of obvious errors.
Taxes and shipping: Unless expressly stated otherwise, displayed product prices do not include applicable taxes, freight, shipping, handling, duties, customs charges, or import fees.
Promotions: Promotional offers may be subject to additional terms. If promotion-specific terms conflict with these Terms, the specific promotional terms will govern that promotion.
Payment information: You agree to provide accurate and complete billing and payment information and to update such information when necessary.

By providing a payment method, you represent that:

You are authorized to use the payment method;

Charges associated with your purchase are authorized; and
You agree to pay all applicable product charges, taxes, shipping, freight, and other disclosed fees.

SECTION 5 - SHIPPING AND DELIVERY

Shipping and delivery dates are estimates unless we expressly state otherwise.

Cryomedics is not responsible for delays caused by carriers, customs, weather, supply interruptions, governmental actions, force majeure, or other circumstances outside our reasonable control.

Delivery inspection: You should inspect your shipment promptly upon delivery and report visible damage, shortages, or incorrect products in accordance with our Return & Refund Policy.
Freight deliveries: For freight-shipped products, you may be asked to inspect the shipment and note visible damage with the carrier at the time of delivery.
Delivery access: You are responsible for providing reasonable and safe access for delivery and for ensuring that the product can physically fit through intended access points.
Risk of loss: Title and risk of loss pass as provided by applicable law and the applicable shipping terms.
Damaged goods: Nothing in this section limits any rights you may have regarding products that arrive damaged, defective, or nonconforming.

Returns, damaged shipments, and warranty claims are governed by our Return & Refund Policy and applicable Limited Warranty.

SECTION 6 - HEALTH, SAFETY AND INTENDED USE

Certain Cryomedics products, including cold-plunge, body-cooling, recovery, and temperature-therapy products, may involve exposure to cold temperatures, water, electricity, moving equipment, or other conditions that require responsible use.

You agree to:

Read and follow all operating instructions, warnings, installation guidance, and safety materials supplied with the product;
Use the product only for its intended purpose;
Follow applicable electrical, plumbing, installation, and maintenance requirements;
Maintain products in accordance with the supplied instructions;
Avoid unauthorized modification, disassembly, or repair; and
Stop using a product if it appears damaged, unsafe, or malfunctioning.

Cryomedics products are not intended to diagnose, treat, cure, or prevent any disease unless expressly stated otherwise.

Information provided through the Services is general information and is not a substitute for professional medical advice.

If you have a medical condition, are pregnant, take medications, have cardiovascular concerns, or are uncertain whether cold exposure or another product is appropriate for you, you should consult an appropriate healthcare professional before use.

The Services and their content, including trademarks, branding, text, graphics, photographs, videos, product descriptions, designs, software, audio, and other materials, are owned by Cryomedics, its affiliates, licensors, or applicable third parties and are protected by intellectual property laws.

Shopify and other third-party names, logos, and trademarks appearing through the Services remain the property of their respective owners.

Cryomedics does not control and is not responsible for the accuracy, security, availability, products, services, or practices of third-party websites.

If you access a third-party site or purchase a third-party product or service, you do so subject to that third party’s terms and policies.

The inclusion of a third-party link does not necessarily imply endorsement by Cryomedics.

SECTION 10 - RELATIONSHIP WITH SHOPIFY

The Services are hosted and supported by Shopify.

However, purchases made through the Cryomedics store are transactions directly between you and Cryomedics.

Shopify is not the seller of Cryomedics products and is not responsible for the performance, delivery, warranty, safety, or suitability of products sold by Cryomedics, except to the extent Shopify separately provides a service directly to you.

Your use of Shopify-related services may also be governed by Shopify’s applicable terms and privacy policies.

SECTION 11 - SMS MESSAGING TERMS

If you provide your mobile phone number and expressly opt in, Cryomedics may send you SMS text messages in accordance with the consent you provide.

SMS communications may include:

Order communications: Order confirmations, shipping updates, and delivery notifications.
Customer service: Support-related communications.
Appointments: Reminders and scheduling information.
Account notifications: Information related to your account or purchases.
Marketing: Promotional offers and marketing messages where you have consented to receive them.

Carrier responsibility: Wireless carriers are not liable for delayed or undelivered messages.

By opting in, you acknowledge that SMS communications are also subject to our Privacy Policy.

Because the Services are hosted by Shopify, Shopify may also collect and process certain information regarding your use of the Services.

If you submit reviews, photographs, videos, comments, suggestions, ideas, feedback, testimonials, or other content to Cryomedics (“Feedback”), you grant Cryomedics a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, publish, display, distribute, and otherwise use such Feedback in connection with our business and marketing.

You represent that:

You own or have the necessary rights to submit the Feedback;
The Feedback does not violate another party’s intellectual property, privacy, publicity, or other rights;
The Feedback is truthful to the best of your knowledge; and
You have disclosed any compensation or incentive associated with the Feedback where required.

We may moderate, remove, decline to publish, or edit Feedback where permitted by law.

You remain responsible for content you submit.

SECTION 14 - ERRORS, INACCURACIES AND OMISSIONS

Information on the Services may occasionally contain typographical errors, pricing errors, inaccuracies, omissions, or outdated information.

Cryomedics reserves the right to:

Correct errors or inaccuracies;
Update information;
Modify product descriptions;
Correct pricing;
Cancel or modify an affected order; and
Take other reasonable corrective action.

If we cancel an order after payment due to an error on our part, we will refund the applicable amount paid for the canceled item.

You may use the Services only for lawful purposes.

Harass, threaten, defame, abuse, or harm others;

We may suspend or terminate access to the Services where we reasonably believe these Terms have been violated.

Cryomedics may suspend or terminate your access to all or part of the Services if you violate these Terms, misuse the Services, engage in suspected fraudulent activity, or otherwise create legal, security, or operational risk.

You remain responsible for amounts properly due through the date of termination.

Provisions that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, feedback, disclaimers, limitations of liability, indemnification, governing law, and other accrued rights and obligations.

SECTION 17 - LIMITED WARRANTY AND DISCLAIMER OF WARRANTIES

Certain Cryomedics products include an express Limited Warranty.

Where a written Limited Warranty applies, that warranty governs the specific warranty coverage provided for the applicable product.

The Services and general website content are provided for informational and commercial purposes.

While we make reasonable efforts to keep information accurate, we do not warrant that all website content will always be complete, current, uninterrupted, secure, or error-free.

EXCEPT FOR EXPRESS WARRANTIES PROVIDED BY CRYOMEDICS AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

NOTHING IN THESE TERMS EXCLUDES, DISCLAIMS, OR LIMITS ANY WARRANTY, CONSUMER PROTECTION RIGHT, OR OTHER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

WHERE PERMITTED BY APPLICABLE LAW, ANY PERMITTED LIMITATION ON THE DURATION OF AN IMPLIED WARRANTY APPLICABLE TO A PRODUCT COVERED BY A WRITTEN LIMITED WARRANTY WILL BE SET FORTH IN THE APPLICABLE LIMITED WARRANTY.

SECTION 18 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRYOMEDICS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SERVICES OR PRODUCTS, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR SIMILAR DAMAGES.

TO THE EXTENT PERMITTED BY LAW, CRYOMEDICS WILL NOT BE LIABLE FOR DAMAGES ARISING FROM:

Misuse of a product;
Failure to follow operating or safety instructions;
Unauthorized modification or repair;
Improper installation or maintenance;
Use inconsistent with the product’s intended purpose; or
Circumstances outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

SECTION 19 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Cryomedics and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, damages, liabilities, costs, and reasonable attorneys’ fees arising from:

Your material breach of these Terms;
Your unlawful use of the Services;
Your violation of another party’s rights; or
Your misuse or unauthorized modification of a product.

We will provide reasonable notice of an indemnifiable claim and may control the defense of such claim, provided that we will not agree to a settlement imposing non-monetary obligations on you without your reasonable consent.

SECTION 20 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the unenforceable portion will be severed.

The remaining provisions will remain in full force and effect.

SECTION 21 - WAIVER AND ENTIRE AGREEMENT

A failure by Cryomedics to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with policies and terms expressly incorporated by reference, constitute the entire agreement between you and Cryomedics regarding the Services and supersede prior agreements or communications concerning the same subject matter.

Policies incorporated into these Terms include, where applicable:

Our Privacy Policy;
Our Return & Refund Policy;
Applicable Limited Warranty terms;
Product-specific safety instructions; and
Promotion-specific terms.

SECTION 22 - ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Cryomedics may assign or transfer these Terms, in whole or in part, as part of a merger, acquisition, corporate restructuring, financing, sale of assets, or other legitimate business transaction, or as otherwise permitted by law.

SECTION 23 - GOVERNING LAW AND VENUE

These Terms and any separate agreements through which Cryomedics provides the Services will be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

To the extent permitted by applicable law, legal actions or proceedings arising from or relating to these Terms or the Services shall be brought in the applicable state or federal courts having jurisdiction in Florida.

You and Cryomedics consent to the personal jurisdiction of such courts where legally permitted.

Nothing in this section limits any consumer right to bring a claim in another forum where applicable law does not permit that right to be waived.

Headings are included for convenience only and do not affect the interpretation of these Terms.

SECTION 25 - CHANGES TO THESE TERMS

Cryomedics may update, modify, or replace these Terms from time to time to reflect changes in our business, Services, policies, technology, or applicable law.

Current version: The most current version will be posted on this website.
Last updated: We will update the “Last updated” date when these Terms are materially revised.
Material changes: Where required by law, we will provide notice of material changes.
Existing purchases: Unless otherwise required by law or expressly stated, material purchase terms applicable at the time an order is placed will generally continue to govern that transaction.
Future use: Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
